While you probably lock your important files away in secure filing cabinet when you are not in your office and have installed security encryption software on your electronic files to keep prying eyes out have you stopped to think about your employees? In order to make sure that they understand the importance of keeping your company information safe you may need to use a non-disclosure agreement template to draw up a document for each employee to sign stating that they will not disclose any information. This type of agreement is put in place to ensure that any information pertaining to your company and your clients will be held in the strictest confidence. It is used particularly where the sharing of information must occur between two companies but not be released to the general public.
Many times these types of forms are drawn up by lawyers. These forms can be very expensive and are not essential. It is only advisable for those who do not have time or resources to create this document on their own. A commercial lease agreement is different from a residential one. That is renters have far more latitude such as constructing a building that suits their business but they have far less freedom in terms of what they can do with the property they are renting. Lasting for 5 or even 10 years depending on the terms the landlord and tenant set a commercial lease is usually much longer than a residential lease. A commercial lease will often list several people on the lease both as landlords or investors and the group that is renting the space. Each person that has a stake in the agreement should be listed.
Ultimately these exceptions provide a nice balance between the parties and make it easier to determine what is covered by the nondisclosure obligation and what is not. So if you are thinking about all of the provisions that should typically go into a comprehensive confidentiality agreement template make sure you nail the business purpose marking requirement description and exceptions issues. These are the provisions that are most heavily discussed and negotiated in this kind of contract so business people should be knowledgeable about them and able to take a firm stand on each issue. No matter what type of business you are in there is always going to be some information that does not need to be made public as it can harm either the company or your clients.
